1. Parties and Scope
These terms govern the wholesale sales between Salim Örme Tekstil San. ve Tic. Ltd. Şti. ("Seller") and the commercial buyer ("Buyer"). All transactions are strictly business-to-business (B2B) in nature and are not consumer transactions. Accordingly, the right of withdrawal under Law No. 6502 and the Regulation on Distance Contracts does not apply.
2. Quotation, Order and Reservation
Prices are generally determined through negotiation via WhatsApp/e-mail and may be specific to the Buyer. Any quotation/order created on the website constitutes a reservation; it does not bind the Seller until payment is completed. Unless otherwise stated, quotations are valid for 30 days.
3. Price and Currency
Prices may be displayed in TRY/USD/EUR and are exclusive of VAT for export transactions (export exemption). Depending on the delivery terms (DAP/DDP), an all-inclusive delivered price (landed cost) may be offered. In the event of changes in exchange rates or customs duty rates, the price may be revised after the quotation validity period has expired.
4. Payment
Accepted methods: credit/debit card (3D Secure — iyzico) via the website, bank transfer/EFT/SWIFT, and other mutually agreed methods. For large orders, a 30% deposit + balance (prior to shipment) may be required. Title to the goods remains with the Seller until the price is paid in full. Card data is tokenized at the payment institution; the Seller does not store any card information.
5. Delivery and Incoterms (2020)
The delivery term is specified in the order (DAP or DDP; FCA/DAP for courier/air shipments). The allocation of risk and costs follows the selected Incoterm. Delivery times are estimates; force majeure is reserved.
6. Minimum Order Quantity (MOQ) and Samples
The unit of sale is 1 series = 4 pieces (assorted sizes), and the minimum order quantity is stated on the website (default 40 pieces / 10 series). Sample requests may be charged separately and may be credited against the first order.
7. Inspection, Defects and Objections
The Buyer is obliged to inspect the goods within 7 days of delivery and to notify any defects in writing (with photographs/documentation). No liability shall arise for defects not reported within this period. Due to the B2B nature of the transactions, discretionary returns are not accepted; exchange or return is only available for defective or incorrectly shipped goods.
8. Delay and Force Majeure
In circumstances beyond the Seller's control — such as natural disasters, strikes, sanctions, or logistics/customs disruptions — delivery times shall be extended and the Seller cannot be held liable.
9. Intellectual Property and Confidentiality
The brand, images and content belong to the Seller. The parties shall keep trade secrets confidential.
10. Governing Law and Jurisdiction
These terms are governed by Turkish law. The Istanbul (Çağlayan) Courts and Enforcement Offices shall have jurisdiction over disputes. Should the text be published in both Turkish and English, the Turkish version shall prevail in the event of any conflict.
11. Personal Data
Data processing is subject to our KVKK- and GDPR-compliant Privacy Policy.
