Terms of Sale (B2B Sales Agreement)

1. Parties and Scope

These terms govern the wholesale sales between Salim Örme Tekstil San. ve Tic. Ltd. Şti. ("Seller") and the commercial buyer ("Buyer"). All transactions are strictly business-to-business (B2B) in nature and are not consumer transactions. Accordingly, the right of withdrawal under Law No. 6502 and the Regulation on Distance Contracts does not apply.

Order of precedence: In all sales where the Buyer acts for commercial or professional purposes, on behalf of a company or business, these Terms of Sale constitute the principal and binding agreement. The Distance Sales Agreement published on this website applies only to buyers qualifying as consumers within the meaning of Article 3/1-(k) of Law No. 6502. In the event of any conflict between the two texts, these Terms of Sale shall prevail in commercial (B2B) transactions.

2. Order, Offer and Conclusion of the Contract

The prices shown on the website are list prices. An order that the Buyer sends through the website is a reservation request; no payment is taken at this stage. The Seller sends its offer, which states the price specific to the Buyer and the total amount payable, together with the payment link, by WhatsApp or e-mail. The contract is concluded upon payment in full of the price stated in the offer (or, where an advance payment has been agreed, of the advance payment). Offers are valid for 30 days unless a different period is stated on them.

3. Price and Currency

Prices are shown in Turkish lira, US dollars or euros and are exclusive of VAT for export sales (export exemption). For shipments to the USA, import duties and fees are calculated as a separate line in the cart and are included in the order total (DDP); no additional payment is requested from the Buyer on delivery. For other countries, customs duty, import VAT and other import taxes are not included in the sale price and are paid by the Buyer on arrival (DAP). In the European Union, customs duty is 0% with the A.TR movement certificate. The price in the offer is fixed for the validity period of the offer; after that period expires, changes in exchange rates and customs duty rates are reflected in a new offer.

4. Payment

Payment is made through the secure payment link sent by the Seller, by credit/debit card (3D Secure — iyzico) or by bank transfer (EFT/SWIFT); other methods agreed by the parties in writing are also valid. For international bank transfers, all bank charges are borne by the sender. With a bank transfer, payment is deemed made when the full amount due has been credited to the Seller's account. For large orders, the parties may agree on a 30% advance payment and the balance before shipment. Title to the goods remains with the Seller until the price is paid in full. Card details are processed only by the payment institution (iyzico); the Seller neither sees nor stores card details.

5. Delivery and Incoterms (2020)

The delivery term is shown in the cart before ordering and stated in the offer: DDP for shipments to the USA, DAP for other countries (ICC Incoterms 2020). VAT-registered buyers may deduct the import VAT they pay on arrival in accordance with the rules of their own country. The allocation of risk and costs follows the selected Incoterm. The order is handed over to the carrier within 1–7 business days after the price has been paid in full; if the offer states a different dispatch date, that date applies. The transit time is the time stated by the carrier for the selected shipping service. Cases of force majeure are reserved.

6. Unit of Sale, Sizes and Minimum Order

The products are sold in packs. 1 pack consists of 4 pieces of the same style and color; the sizes in the pack are shown on the product page and on the Size Chart page. The minimum order quantity is a total of 40 pieces (10 packs); different styles and colors can be combined. Samples are sent on request; the terms are stated in the offer.

Sizes and measurements: The size names (for example “3XL” or “10XL”) are the Seller's own production designations; they do not mean that a garment has the same measurements as the same-named size of another country, brand or trade usage. The goods are defined by the garment measurements in the Size Chart as published on the Size Chart page on the date the reservation request was sent (or, where there is no reservation request, on the date the offer was sent). The Size Chart forms part of this contract; in the event of any conflict with a size name, a photograph or a size comparison, the Size Chart shall prevail. Measurements are taken in centimeters on the unwashed garment laid flat on a level surface; the inch values are the equivalents of these measurements and, in the event of any difference, the centimeter values shall prevail. For chest width, hem width, body length and sleeve length, a difference of up to ±2 cm, and for the other measurements in the Size Chart of up to ±1 cm, is a production tolerance and is not deemed a defect. The fact that the size names differ from the sizes customary in the Buyer's market is neither a defect nor a ground for return.

7. Inspection, Defects and Returns

The Buyer shall inspect the goods within 8 days from the date of receipt and shall, within this period, notify the Seller in writing, with photographs and documentation, of any missing, damaged, defective or incorrectly shipped products. Missing products reported within this period are supplied or their price is refunded; damaged, defective or incorrectly shipped products are replaced or their price is refunded. Where a return is required, the return shipment is made with the carrier indicated by the Seller, and the transport cost is borne by the Seller. Goods for which no notice is given within this period are deemed accepted; statutory rights in respect of hidden (latent) defects that become apparent later are reserved. As the sales are commercial (B2B) in nature, no returns are accepted outside these cases.

8. Delay and Force Majeure

In circumstances beyond the Seller's control — such as natural disasters, strikes, sanctions, or logistics or customs disruptions — delivery times shall be extended by the duration of those circumstances and the Seller cannot be held liable for the delay. The Seller shall promptly inform the Buyer of the delay and its cause.

9. Intellectual Property and Confidentiality

The brand, images and content belong to the Seller. The parties shall keep trade secrets confidential.

10. Governing Law and Jurisdiction

These terms are governed by Turkish law. As these transactions relate to the commercial enterprise of both parties and therefore constitute commercial transactions (Articles 4 and 5 of the Turkish Commercial Code No. 6102), the Istanbul (Çağlayan) Commercial Courts of First Instance and the Istanbul Enforcement Offices shall have jurisdiction over disputes; consumer courts and consumer arbitration committees shall have no jurisdiction.

The parties expressly agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG — the 1980 Vienna Sales Convention) shall not apply to this agreement (CISG Article 6). The contractual relationship shall be governed by Turkish substantive law, in particular the Turkish Code of Obligations No. 6098 and the Turkish Commercial Code No. 6102.

Should the text be published in Turkish and in other languages, the Turkish version shall prevail in the event of any conflict.

Data processing is subject to our KVKK- and GDPR-compliant Privacy Policy.
